Terms of Service — Play Hard
1. Acceptance of Terms
By hiring Play Hard Studio ("Play Hard", "we", "us", "our") to build a digital product, registering for an account in our secure Client Portal, or approving an active project proposal, you or the company you represent ("Client") declare that you have read, understood, and agreed entirely to be bound by these Terms of Service and our accompanying Privacy Policy.
These terms govern all digital products, custom builds, maintenance, and software development agreements executed by the studio.
2. Scope of Services
Play Hard is an independent software studio that constructs digital solutions with high performance and visual fidelity. Our standard disciplines include:
- Websites & Landing Pages: Built for maximum conversion, exceptional search engine optimization (SEO), and immersive aesthetics.
- Online Stores (E-commerce): Full-scale shopping systems equipped with payment gateways, logistics integration, and robust product cataloging.
- Web Apps & Platforms: Multi-tenant SaaS products, custom management portals, and PostgreSQL database configurations.
- Mobile Applications: Native apps built from scratch (React Native / Expo) and distributed via Apple App Store and Google Play Store.
3. The Client Portal
To ensure obsessive transparency in our software engineering pipeline, we provide our clients access to our custom operation cockpit:
- Milestone Roadmap: The progress of your build is segmented into clear milestones (e.g. Planning, Design, Development, QA, and Live Deploy).
- Technical Audits: Real-time Lighthouse scoring showing page performance, accessibility compliance, and SEO status.
- Support Help Desk: Any requested maintenance, adjustments, or bugs must be reported by creating a technical support ticket in the portal.
- Credential Safety: The Client is solely responsible for protecting their portal credentials. Play Hard is not liable for unauthorized access stemming from negligent password management.
4. Billing & Financial Terms
Our invoicing pipeline is integrated with the secure payment processor Asaas:
- Invoice Distribution: Invoices are sent directly via email and are instantly available on your secure Client Portal.
- Payment Methods: We support PIX transfers (featuring animated QR code scans inside the portal), credit card charges, and bank slips.
- Due Dates & Delinquency: Invoices unpaid 5 business days after their due date will result in immediate suspension of active development. Extended delinquency may lead to temporary suspension of your live portal access or hosted services.
- Recurring Services: Continuous retainers (maintenance and support) are billed monthly and can be canceled at any time by providing a 30-day prior written notice.
5. Intellectual Property Rights
Code ownership and licensing are defined under standard contracts as follows:
- Client's Custom Code: The specific codebase, styles, business logics, and database schemas crafted uniquely for the Client's project are fully transferred to the Client upon 100% financial settlement of all contractual amounts.
- Agency Foundations & Frameworks: Core boilerplates, server frameworks, database setups, and reusable components owned by Play Hard Studio remain under the studio's intellectual property. We grant the Client a perpetual, non-exclusive, royalty-free license to use these libraries inside their digital product.
- Portfolio Showcase: The Client authorizes Play Hard Studio to display their logo, website, and mockup screenshots of the built product in our public portfolios and media channels, unless a Non-Disclosure Agreement (NDA) with specific restrictions has been signed by both parties.
6. Client Responsibilities & QA
We operate in rapid, high-efficiency sprints. The overall timeline relies directly on the Client's prompt collaboration:
- Providing Assets: The Client agrees to provide copy, graphics, third-party API keys, and deployment credentials in a timely manner. Delays in supplying these assets will suspend active development deadlines.
- Milestone Homologation: When a milestone is completed, the Client has 5 business days to test and submit any issues. If no review is sent within 5 business days, the milestone is automatically approved, and our team moves forward with the subsequent milestone.
7. Limitation of Liability
While we build using high-grade secure modern libraries, software is never completely impervious to external factors. We are not liable for:
- Outages or errors stemming from third-party hosting companies selected by the Client (e.g. AWS, Vercel, Hostinger).
- Bugs or vulnerabilities introduced by external programmers hired by the Client without our consent.
- Force majeure events, global network outages, or DDoS/hacker intrusions.
8. Governing Law & Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Brazil. Any disputes arising out of these terms shall be settled exclusively in the courts of São Paulo, SP, Brazil.
